These terms govern your use of varethsystems.com and the Vareth customer portal. By creating an account or subscribing, you agree to them.
Vareth provides operations materials and templates for home care agencies, generated from the answers you give in our assessment and delivered through a subscription portal. You get a diagnostic score, materials matched to your tier, access to our template library, and access to a subscriber community.
What Vareth is not. Vareth is a self-service software product. We are not consultants, and we do not act as your advisor, agent, or representative. We do not review your operations, supervise your implementation, or take responsibility for the results you get. You decide what to use, how to use it, and whether it fits your agency.
The materials Vareth provides are general operational resources. They are not legal, regulatory, accounting, tax, medical, clinical, human resources, or licensing advice, and using them does not create a professional relationship of any kind.
Home care is a regulated industry. Requirements vary by state, by payer, and by license type, and they change. You are solely responsible for your agency's compliance with all applicable laws, regulations, licensing conditions, payer rules, and accreditation standards. Before you rely on any Vareth material in a compliance, billing, employment, or clinical context, have it reviewed by a qualified professional in your jurisdiction.
We do not promise any particular outcome. Nothing on our site or in our materials is a guarantee of improved retention, revenue, margins, compliance status, survey results, audit outcomes, or any other result. Any figures or examples we show are illustrative, not projections of what your agency will achieve.
Vareth owns the platform, the assessment, the template library, and all underlying materials. While your subscription is active, we grant you a limited, non-exclusive, non-transferable license to use the materials you receive inside your own agency.
You may adapt materials for your agency's internal use. You may not resell, sublicense, publish, or distribute them outside your agency, or use them to build a competing product or service.
You keep ownership of the information you submit. You grant us permission to use it to operate the service, generate your materials, and improve the product.
The subscriber community is for peer discussion. Do not post client or patient information, confidential employee information, spam or solicitations, or anything unlawful or abusive. We may remove content or revoke community access at our discretion. Views posted by other subscribers are theirs, not ours.
You agree not to misuse the service, including by attempting to gain unauthorized access, interfering with its operation, scraping or bulk-extracting content, or using it in violation of any law.
We aim to keep Vareth available and accurate, but we do not guarantee uninterrupted service. We may modify, suspend, or discontinue features. If we discontinue the service entirely, we will give active subscribers reasonable notice.
THE SERVICE AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, VARETH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, REGULATORY PENALTIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE.
You agree to indemnify and hold Vareth harmless from claims, losses, and expenses arising from your use of the service, your implementation of any materials, or your violation of these terms or any law.
You may stop using Vareth at any time. We may suspend or terminate your account if you breach these terms or if we discontinue the service. On termination, your license to use the materials ends, though you may keep copies already in use inside your agency.
These terms are governed by the laws of the State of Illinois, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Illinois, and you consent to their jurisdiction.
We may update these terms. We will revise the date at the top and notify active subscribers by email of material changes. Continued use after changes take effect means you accept them.
